Mixer Supplemental Terms to the Epic Games Terms of Service

Hi! These are the rules and responsibilities associated with using our 3D texturing application ("Mixer")” and all assets, textures and other materials contained in it or distributed with it (“Epic-Provided Materials”).

These Mixer Supplemental Terms (“Mixer Terms”) are a contract between a person who accepts them (“you,” “your,” or “yours”) and Epic. These Mixer Terms supplement the Epic Games Terms of Service (the “Epic Terms”). Mixer and any Epic-Provided Materials constitute “Licensed Products” under the Epic Terms. Capitalized terms not defined in these Mixer Terms will have the meaning given to them in the Epic Terms. To the extent there is a conflict between these Mixer Terms and the Epic Terms, these Mixer Terms will govern such conflict as it relates to Mixer and Epic-Provided Materials.

When we say, “Epic Games,” “Epic,” “we” or “us,” we mean the Epic Games Inc. When we say “include,” “includes,” and “including” that should be read to include “without limitation” at the end (e.g., “include [without limitation]”).

Please read these Mixer Terms carefully. If you do not agree to these Mixer Terms and the Epic Terms, you may not use Mixer. IF YOU ARE NOT AN ADULT (18+ in most jurisdictions), ASK YOUR PARENT OR GUARDIAN TO READ THIS WITH YOU. By accepting these Mixer Terms, you (& your parent/guardian) agree to abide by these rules. ANY DISPUTES ARISING UNDER THESE Mixer TERMS WILL BE RESOLVED AS PROVIDED FOR IN THE EPIC TERMS, WHICH FOR U.S. PERSONS MEANS YOU ARE AGREEING TO RESOLVE MOST DISPUTES IN BINDING, INDIVIDUAL ARBITRATION AND GIVING UP THE RIGHT TO GO TO COURT OR TO PARTICIPATE IN CLASS ACTIONS.

1. LICENSE TERMS AND YOUR USE OF MIXER

Epic and its licensors own all title, ownership rights, and intellectual property rights, including but not limited to all copyrights, trademark rights, and patent rights, in all elements of Mixer and Epic-Provided Materials. The Mixer product you use as well as the Epic-Provided Materials are licensed to you, not sold. This means you do not own Mixer or Epic-Provided Materials, but you are granted permission to use them in the form of a license.

By agreeing to these Mixer Terms, Epic grants you a license to Mixer that is:

    ● Limited (you can only use Mixer as expressly stated in these Mixer Terms);

    ● Non-transferable (the license itself is granted only to you and you may not transfer or sell it to anyone else. This does not prevent you from sharing access to Mixer with your collaborators as permitted in Section 3. For the avoidance of doubt, you may use Mixer to create assets or content for projects that you intend to commercialize);

    ● Revocable (we can take it away);

    ● Non-Exclusive (we can let other people besides you use Mixer); and

    ● Non-sublicensable (you can’t give your rights under these Mixer Terms to someone else, or let others exercise your rights under these Mixer Terms).

Under this license you may not:

    ● Copy, display, perform, or use Mixer in a way not specifically listed as a permissible use in these Mixer Terms, or beyond the scope of its intended use.

    ● Reverse engineer, modify, decompile, disassemble, or make derivative works of Mixer.

    ● Use Mixer in a way that causes Epic to infringe on or violate anyone else’s rights, including intellectual property, publicity, or privacy rights.

    ● Remove, delete, hide, or alter any rights notices displayed on or in connection with Mixer like copyright or trademark notices.

    ● Use Mixer’s code or internal assets as training input for any Generative AI Program or as prompt-based input where the Generative AI Program trains on input data. “Generative AI Program” means artificial intelligence, machine learning, deep learning, neural networks, or similar technologies designed to automate the generation of or aid in the creation of new content, including but not limited to audio, visual, or text-based content. Programs do not meet this definition of Generative AI Programs where they, by non-limiting example, (a) solely operate on the original content (such as image upscaling); (b) generate tags to classify visual input content; or (c) generate instructions to arrange existing content, without creating new content.

    ● Use Mixer in ways that would infringe, misuse or otherwise violate someone else’s rights (including intellectual property and personal rights) or any applicable laws or regulations.

All rights in and to Mixer that are not specifically granted in these Mixer Terms are reserved by Epic and its licensors, and you may only use the Mixer as stated in these Mixer Terms. No license or other rights are created through these Mixer Terms by implication, estoppel, or otherwise.

2. YOUR USE OF EPIC-PROVIDED MATERIALS

Your use of the Epic-Provided Materials is governed by the Fab Standard License Terms (“Standard License”), which form part of the Fab End User License Agreement (the “Fab EULA”; available at https://www.fab.com/eula). For clarity, only the provisions of the Fab EULA that set forth and define the Fab Standard License and content use rights and restrictions are incorporated into this Mixer Terms by reference and made binding on you. By installing or using Mixer, you acknowledge that you have had an opportunity to review the Fab Standard License and that you agree to use the Epic-Provided Materials only in accordance with its terms.

You may not use Epic-Provided Materials (i) in datasets utilized by Generative AI Programs; (ii) in the development of Generative AI Programs; or (iii) as training inputs to Generative AI Programs.

3. HOW YOU CAN SHARE MIXER

You may not Distribute Mixer on a standalone basis to third parties except to your collaborators (either directly or through a third-party repository) who are utilizing Mixer in good faith to develop a Project with you or on your behalf. This means, for example, that you may share Mixer with your employees, affiliates, and contractors in a private online repository while you work on a Project together. Those collaborators you share Mixer with are not permitted to further Distribute Mixer and must delete Mixer once it is no longer needed for developing a Project with you or on your behalf. You are responsible for ensuring that any third parties you share Mixer with comply with these Mixer Terms and Epic Terms. You are solely liable for any violation of these Mixer Terms or Epic Terms by collaborators you shared Mixer with.

4. TERMINATION

If you terminate or Epic terminates the Epic Terms as to you, these Mixer Terms also will terminate as to you (subject to the provisions of the Epic Terms that survive termination). You may, or Epic may, terminate these Mixer Terms as to you without terminating the Epic Terms.

5. MISCELLANEOUS

a. Entire Agreement. Subject to Sections 2 and 5.b, these Mixer Terms, together with the Epic Terms, contain the entire understanding between you and Epic regarding Mixer and Epic-Provided Materials.

b. Alternative Terms. These Mixer Terms do not supersede, amend, or otherwise affect other agreements you may have with us. For example, if Epic grants you a license to use Mixer or Epic-Provided Materials to develop one or more products under a custom license, that custom license and not these Mixer Terms governs your use of Mixer and Epic-Provided Materials.

c. Severability. If any part of these Mixer Terms is found not to be legally enforceable, that will not affect any other part of these Mixer Terms.
